Terms of Use

1. About these terms

1.1 MODMS is operated by Alessandro Arbizzani trading as MODMS, ABN 55 307 371 210 (“MODMS”, “we”, “us”).

1.2 These terms apply to anyone who uses the MODMS platform (the “Service”). You accept them when you tick the acceptance box on first sign-in. We record which version you accepted and when.

1.3 Your organisation uses MODMS under a separate agreement with us (the “Customer Agreement”). If these terms and the Customer Agreement conflict, the Customer Agreement applies.

1.4 If you use the Service on behalf of an organisation, you confirm you are authorised to do so.

2. Accounts

2.1 Accounts are created by invitation from an organisation. Your organisation decides your role and what you can see.

2.2 Keep your sign-in details secure, do not share your account, and tell us or your organisation promptly if you think it has been accessed without permission.

2.3 You are responsible for activity under your account.

3. What MODMS does and does not do

3.1 MODMS records information entered by organisations and their users, and automatically calculates rankings, scores and statistics from it.

3.2 Your organisation makes all decisions about appointments, grading, promotion, discipline, selection and education. MODMS does not make those decisions and is not responsible for them.

3.3 Rankings and statistics depend on the information entered. We do not guarantee that information entered by others is accurate or complete.

4. Acceptable use

You must:

(a) use the Service only for managing and developing match officials;

(b) write reports, comments and feedback that are honest, fair, accurate and professional;

(c) only upload or link footage and material you, or your organisation, have the right to share;

(d) keep information you see in the Service confidential (see clause 6).

You must not:

(e) include abusive, threatening, discriminatory, harassing or defamatory content, or content that reveals sensitive information about someone (such as health or criminal records) unless it is directly relevant and they have consented;

(f) try to access another organisation’s data or any data your role does not permit;

(g) probe, scan, test or disrupt the Service, or bypass its security;

(h) copy, scrape, reverse engineer or attempt to extract the source code, data model or ranking methods of the Service, or use it to build a competing product;

(i) use the Service to send spam or unsolicited messages.

5. Content

5.1 You and your organisation keep ownership of the content you put into the Service (“Your Content”).

5.2 You give us a licence to host, store, process, display and copy Your Content as needed to provide, secure and support the Service.

5.3 You are responsible for Your Content, including making sure it is accurate and lawful. Reports and comments are the views of the person who wrote them, not of MODMS.

5.4 We may create and use de-identified, aggregated data about how the Service is used and the outcomes it supports. This data does not identify any person or organisation, and we own it.

5.5 Complaints about content. If you believe content about you in the Service is inaccurate, unfair or unlawful, raise it with your organisation first. You can also email complaints@modms.io. We may refer it to your organisation, and we may restrict access to content while a complaint is considered.

6. Confidentiality

Reports, incident reviews, rankings and development records are confidential to the people your organisation gives access to. Do not copy, screenshot, download or share them outside the Service without your organisation’s permission.

7. Our intellectual property

7.1 We own the Service, including its software, design, ranking and scoring methods, documentation, and the MODMS name and logo. These terms give you permission to use the Service, not ownership of it.

7.2 If you send us feedback or suggestions, we may use them without restriction or payment.

8. Availability and changes to the Service

8.1 We aim to keep the Service available but do not guarantee it will be uninterrupted or error-free.

8.2 We may change or withdraw features. We will give your organisation reasonable notice of significant changes.

8.3 Test environment. Any environment labelled test, trial or demo (including test.modms.io) is for evaluation only, may be reset without notice, and must not be used for real personal information.

9. Suspension and termination

9.1 We or your organisation may suspend or remove your account if you breach these terms, or if your use puts the Service, other users or anyone’s information at risk.

9.2 Your access ends if your organisation removes you or stops using the Service.

9.3 Clauses 5, 6, 7, 10 and 12 continue after your access ends.

10. Liability

10.1 Nothing in these terms excludes, restricts or modifies any right or remedy you have under the Australian Consumer Law or other law that cannot be excluded.

10.2 To the extent the law allows:

(a) we are not liable for any indirect or consequential loss, or for loss arising from decisions made by your organisation (including appointment, grading or disciplinary decisions);

(b) we are not liable for content written by other users;

(c) our total liability to you for all claims connected with the Service is limited to AUD $1,000.

11. Changes to these terms

We may update these terms. If a change is significant, we will tell you when you next sign in and ask you to accept the new version before continuing. Minor changes (such as corrections or clarifications) take effect when published.

12. Governing law

These terms are governed by the laws of Victoria, Australia, and you and we submit to the non-exclusive jurisdiction of the courts of Victoria.
